JOB DESCRIPTION


Reporting Structure: The position reports directly to the General Manager and Group Chief Executive Officer.

Role Profile

The incumbent will be responsible for developing and sustaining a platform for excellence in Corporate Governance as well as overseeing all legal, regulatory and compliance issues across the Group. In addition, the position will be responsible for the provision of company secretarial work for the IDCZ Head Office and perform an advisory role on the same across the Group.

Key Job functions

  • Providing secretarial services to the Board and its Committees including convening the meetings, preparation of agenda and papers as well as drafting of minutes and extracting resolutions and ensuring their implementation thereafter.
  • Effectively co-ordinating all Board activities and meetings, including the training and induction of new Board members.
  • Providing the Board and its committees with all requisite information, support and advice to ensure that they effectively discharge their duties.
  • Providing sound legal advice to the Board, management and staff on matters of corporate law and ethics in compliance with good corporate governance principles and all relevant/ applicable statutes.
  • Maintaining the corporate governance framework and practices to ensure compliance across the Group.
  • Managing the process of outsourcing external legal services and give appropriate legal instructions and adequate legal briefing to the appropriate external legal firms.
  • Overseeing the drafting and maintenance of all legal documentation to ensure that the interests of the Corporation and the Group are adequately protected or safeguarded in various aspects and in all litigation.
  • Ensuring compliance with all statutory regulations through the maintenance of a robust system for record keeping of all statutory and legal documents; Agreements and Contracts as well as a timely submission of returns to various regulatory bodies and custody of the same.
  • Ensuring effective implementation, tracking and reporting on all Board resolutions; drafting and compiling relevant reports (e.g., Director’s Report) for input into the Corporation’s Annual Report.
  • Supervise direct and indirect reportees.
  • Review and/ or ensure the review of the Corporation and the Group’s agreements, contracts and leases.
  • Ensuring that the Group complies with all relevant legislation and statutory instruments.


Requirements of the Job

The successful candidate for this Executive position should meet the following criteria:

  • Must be a holder of a Bachelor of Laws Honours Degree and a Postgraduate qualification such as MBA/MBLas an added advantage.
  • Ten (10) years’ work experience in a corporate legal environment of which 5 years must be as a Secretary to the Board in a medium to large corporate.
  • Possession of strong leadership and interpersonal skills.
  • Must be a member of the Law Society of Zimbabwe with a clean record.
  • Must have ability to provide guidance, make decisions and interact with all stakeholders with tact, sound judgement, confidence; confidentiality and able to exercise sound discretion where appropriate and allowable and other authority levels.
  • A team player who is able to interact confidently at Board level.
